However, MA makes no guarantees as to the accuracy, suitability, or reliability of such information (if any). Customer acknowledges and agrees that the MA definitions of the Customer Metrics will control and are final, and will prevail over any other definitions or measurements. Without limiting the foregoing, Customer agrees MA is permitted to share, disclose, or otherwise make available all analyses regarding the Media Campaign Data with third parties provided that such analyses do not, alone or in combination with any other data element, identify Customer or any individual.
5. Data Privacy - Customer Data
5.1. Definition of Customer Data. "Customer Data" means data provided by or on behalf of Customer to Company in connection with the Agreement, limited to business contact information of Customer's employees, agents, or representatives acting in their professional capacity (e.g., name, business title, business email address, business phone number, and employer/company name). Customer Data does not include, and the parties agree no such data will be provided under this Agreement: (a) personal information or personal data (as those terms are defined under applicable data protection law) relating to individuals in their personal or consumer capacity; (b) special categories of data, sensitive personal information, or data concerning consumers' purchases, preferences, health, finances, or other consumer activity; or (c) any data subject to consumer privacy laws except to the extent such laws independently apply to business contact information.
5.2. Scope of Customer Data. Customer will provide only Customer Data consisting of business contact information for individuals employed by or affiliated with Customer, used solely for purposes of account administration, communication, and performance of this Agreement. Customer represents that it will not transmit, and Company will not knowingly collect or process, any consumer personal data, protected health information, financial account information, or other data governed by consumer-facing privacy laws, in the course of this Agreement. Should the nature of data shared between the parties change to include such categories, the parties agree to execute an appropriate data processing addendum prior to any such transmission.
6. Term and Termination
6.1. Term. The term of this Agreement shall be for as long as MA makes available, and Customer makes use of, the Platform (the “Term”).
6.2. Termination. MA may terminate this Agreement at any time, with or without cause, upon written notice to Customer (email sufficing). Customer may terminate this Agreement in the event MA materially breaches these Terms, provided that Customer gives MA written notice of the material breach and a thirty (30) day opportunity to cure the material breach. If MA does not cure the material breach within thirty (30) days after written notice is provided to MA, this Agreement will terminate at the end of the thirty (30) day cure period.
6.3. Effect of Termination. Upon termination or expiration of this Agreement or upon Customer’s termination of the Services through the Platform: (i) all licenses and rights granted to Customer hereunder shall terminate immediately; (ii) Customer shall cease using the Platform and all Services; and (iii) each party shall destroy all copies of Confidential Information of the other party.
6.4. Right to Suspend. Notwithstanding any other provision in this Agreement, MA shall be entitled, without liability to Customer, to immediately suspend, terminate, or limit Customer’s access to the Platform and/or Services at any time, in its sole and absolute discretion, with or without cause, and MA will use commercially reasonable efforts to provide written notice to Customer (email sufficing) prior to any suspension, termination, or limitation on Customer’s access to the Platform, and/or Services. Without limiting the foregoing, MA may immediately suspend, terminate, or limit Customer’s access to, the Platform, Services, without notice in the event that: (i) MA determines that the Platform and/or Services are being used in violation of any applicable law, rule, or regulation; (ii) MA determines Customer has breached any term, condition, covenant, representation or warranty under this Agreement; (iii) MA determines that the Platform and/or Services are being used in an unauthorized or fraudulent manner; (iv) MA determines that Customer’s use of the Platform, Services, adversely affects MA’s equipment or service to others; (v) MA receives any notice or claim that any Customer Content and/or Video Advertising or activities hereunder with respect to any Customer Content and/or Video Advertising, may infringe or otherwise violate any law or the rights of a third party; (vi) MA is prohibited by an order of a court or other governmental agency from providing the Platform and/or Services; or (vii) there is any other event which MA determines, in its sole discretion: (A) may create a risk to the Platform, and/or Services (B) harms or is likely to harm MA’s business reputation, or (C) is likely to adversely affect any other customers of MA if the Platform and/or Services, were not suspended. MA shall have no liability for any damages, liabilities or losses as a result of any suspension, limitation or termination of Customer’s right to use the Platform and/or Services, in accordance with this Agreement.
7. Fees and Payment
7.1. Fees. Customer pays only for Media Services. The cost of Creative Services, Reporting, and related services is included in the cost of the Media Services. All fees are payable in United States Dollars ("USD"). Amounts charged to Customer for a given period reflect actual media spend delivered in that period, and not a subscription, license, or minimum commitment.
7.2. Media Campaigns. Customer builds their Media Campaign in the Platform by inputting variables including maximum Media Campaign spend, weekly Media Campaign spend, and/or Media Campaign length. Media Campaigns shall be placed through the Platform on a weekly basis with week meaning the seven (7) consecutive day period beginning any week day at 12:00 a.m. Central Time and ending seven days later at 11:59 p.m. Central Time (Billing Week) for a minimum of four (4) Billing Weeks. A Media Campaign may commence on any day of the week.
7.3. Billing Week; Weekly Charges in Arrears. Promptly following the close of each Billing Week, MA will determine the actual media spend delivered during that Billing Week and will charge the Payment Method on File for that amount. MA will initiate each such charge on or about the first business day following the close of the Billing Week
7.4. Weekly Spend Ceiling. Customer shall designate through the Platform a maximum amount of media spend per Billing Week (the "Weekly Ceiling"). The Weekly Ceiling is the maximum amount of fees MA will charge Customer for media delivered in any Billing Week. MA will not exceed the Weekly Ceiling without Customer’s prior approval submitted through the Platform. Any spend figure MA displays to Customer is an estimate derived from the Weekly Ceiling provided for convenience only, and is not itself a spending limit.
7.5. Pacing; Daily Variation. Media delivery is not paced evenly. Spend on any individual day may exceed the pro rata daily average (the Weekly Ceiling divided by seven) where MA determines that available inventory warrants it, and may on other days fall below that average. MA does not guarantee that any Weekly Ceiling will be spent in full.
7.6. Payment Method on File; Payment Authorization. All amounts due under these Terms shall be paid exclusively through Stripe, Inc. ("Stripe"), the third-party payment processor designated by MA. Prior to the launch of any Campaign, Customer shall establish and thereafter maintain a valid payment instrument within MA’s Stripe account (the "Payment Method on File"). Customer authorizes MA to charge the Payment Method on File, without further authorization, for (a) each weekly charge and (b) any other amount that becomes due under these Terms, including spend-to-date on Pause and amounts due on Cancellation. This authorization remains in effect until all amounts owed under these Terms have been paid in full. Customer shall keep the Payment Method on File valid and current at all times. Payment by check, wire, or other means shall not satisfy Customer’s obligations unless MA consents in writing in advance.
7.7. Statements; Billing Disputes. MA will make available to Customer, the charges for each Billing Week, and will issue a Stripe receipt upon each successful charge. Customer must notify MA in writing of any good-faith dispute as to a charge within thirty (30) days after the date of the applicable statement, specifying the amount and basis of the dispute. Charges not disputed within that period are deemed accepted and final. Customer shall pay all undisputed amounts when due.
7.8. Changes to Weekly Ceiling and End Date. Customer may increase, decrease, or pause its Weekly Ceiling, and may change the Campaign end date, at any time through the Platform. Any such change takes effect beginning at least twenty four hours after the change is submitted and does not affect media already delivered or airings already placed within the commitment window. Customer remains responsible for all spend incurred before a change takes effect.
7.9. Pause. Customer may pause a Campaign at any time through the Platform. Upon pause, MA will cease scheduling further airings under that Campaign as promptly as commercially practicable; however, airings already placed with a publisher or inventory partner within the twenty four (24) hours following the pause may still run, and Customer remains responsible for those airings (the "Commitment Window"). A paused Campaign may be resumed by Customer at any time. MA will charge the Payment Method on File for all spend incurred through the end of the Commitment Window, either immediately upon pause or in the next weekly charge, at MA’s election. No further charges will be made while the Campaign remains paused.
7.10. Cancellation. A Campaign may be cancelled only after it has been paused. Cancellation permanently prevents any further airings under that Campaign and cannot be reversed; a cancelled Campaign cannot be resumed, and Customer would need to create a new Campaign at then-current rates. Customer remains liable for, and MA will charge, all spend incurred through the end of the Commitment Window that has not already been paid either immediately upon cancellation or in the next weekly charge, at MA’s election.
7.11. Over-Delivery. If media spend delivered in any Billing Week exceeds the Weekly Ceiling then in effect for that Billing Week without Customer’s prior approval, MA shall bear the excess and shall not charge Customer for it; if Customer has already been charged, MA shall credit or refund the excess within thirty (30) days of discovery or of Customer’s notice. This Section states Customer’s sole remedy for over-delivery.
7.12. Campaign Duration; No Subscription. These Terms do not create a subscription, and Customer is not enrolled in any recurring term or committed to any minimum spend, duration, or renewal. Customer may set an end date for a Campaign, and MA will charge Customer weekly, in arrears, for actual spend delivered through that end date, subject to the Weekly Ceiling. Absent a Customer-set end date, a Campaign continues until paused or cancelled by Customer or terminated in accordance with the Agreement.
7.13. Failure to Pay; Suspension. If any charge is declined, reversed, or not received in cleared funds when due, MA may, without liability and in addition to its other remedies, immediately suspend or cease performance of all Services and access to the Platform until all outstanding amounts are paid in full. Amounts not paid when due accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, from the due date until paid. Customer shall reimburse MA for reasonable costs of collection, including reasonable attorneys’ fees. Suspension under this Section shall not extend the Term and does not relieve Customer of amounts already incurred.
7.14. Credit Controls. Because MA bills in arrears, MA may at any time, on notice to Customer: (a) require prepayment or a deposit as a condition of continued delivery; (b) reduce the Weekly Ceiling; (c) charge the Payment Method on File more frequently than weekly, including when accrued unbilled spend exceeds $10,000 or (d) obtain a pre-authorization hold on the Payment Method on File in an amount up to the Weekly Ceiling. MA reserves the right to pause or terminate any Media Campaign for unpaid fees in its sole discretion. MA’s exercise or non-exercise of any of the foregoing does not waive any other remedy.
7.15. Processing Fees. MA shall bear all Stripe processing fees.
7.16. Chargebacks. Customer shall not initiate a chargeback, dispute, or reversal through Stripe or any card network with respect to undisputed amounts, and shall instead follow the billing dispute process. Customer shall reimburse MA for any chargeback fee assessed against MA in connection with a chargeback resolved in MA’s favor.
7.17. Stripe Terms; No Agency Liability. Customer’s use of Stripe is governed by the Stripe Services Agreement and Stripe’s privacy policy, each between Customer and Stripe. MA is not a party to that relationship and makes no representation or warranty regarding Stripe’s services. MA shall have no liability for any delay, interruption, or unavailability of Stripe. MA does not receive, process, or store Customer’s full payment credentials; such data is transmitted directly to and held by Stripe under Stripe’s PCI-DSS compliance program.
7.18. Change of Processor. MA may, on thirty (30) days’ written notice, designate a different payment processor of comparable standing, in which case references to Stripe shall be read to refer to the successor processor.
7.19. Taxes. The Fees described in these Terms are exclusive of all taxes, including national, state or provincial and local use, sales, value-added, property and similar taxes, if any, and taxes are not counted against the Weekly Ceiling. Customer agrees to pay such taxes (excluding U.S. taxes based on MA’s net income) unless Customer has provided MA with a valid exemption certificate. In the case of any withholding requirements, Customer will pay any required withholding itself and will not reduce the amount paid to MA on account thereof.
8. Intellectual Property Rights
8.1. MA Intellectual Property. As between the parties, MA (and its licensors, where applicable) exclusively own all rights in and to the Platform, Services, and any other software or materials made available to Customer under this Agreement, including any intellectual property arising from the performance of the Services, and any modifications, improvements or derivatives of the foregoing, and all intellectual property rights relating to any of the foregoing.
8.2. Feedback. Customer grants to MA a perpetual, non-exclusive license to use, modify, distribute and otherwise exploit any suggestions, ideas, enhancement requests, feedback, recommendations or other information or ideas provided by Customer or any third party on behalf of Customer relating to the Platform and/or Services.
8.3. Customer Intellectual Property. Customer shall retain ownership of the Customer Content and Customer Data, subject to the licenses granted to MA set forth in Sections in and any intellectual property rights with respect to the foregoing.
9. Confidentiality
9.1. Confidential Information. “Confidential Information” of a party means all confidential and proprietary data and information of the disclosing party that is submitted to or learned by the receiving party in connection with the Agreement, including information relating to either party’s customers, technology, operations, facilities, products, systems, procedures, practices, research, development, employees, business affairs and financial information. Without limiting the foregoing, the following shall be deemed Confidential Information of MA: the Platform and the Services. Neither party may disclose, duplicate, publish, release, transfer or otherwise make available Confidential Information of the other party in any form to, or for the use or benefit of, any person or entity without the other party’s prior written consent, or use such Confidential Information for purposes outside the scope of the Agreement. Each party may disclose the Confidential Information of the other party only to its employees, officers, directors, consultants, contractors, and agents (collectively, “Representatives”) who need to know such Confidential Information for the purposes of the Agreement. Each party will advise its Representatives of their responsibilities under this Agreement and be responsible for any breach of this Section by its Representatives. For purposes of clarity and without limiting the foregoing, MA shall have the right to disclose Customer’s Confidential Information to its subcontractors and other third party strategic partners who are providing Services in connection with the Agreement, provided that the subcontractors and other third party strategic partners are bound by confidentiality obligations at least as restrictive as the obligations in this Section. Confidential Information shall not include information that is: (i) or becomes publicly available (other than by disclosure by the receiving party in violation of the Agreement); (ii) previously known to the receiving party without an obligation of confidentiality; (iii) independently developed by the receiving party outside the Agreement; or (iv) rightfully obtained by the receiving party from third parties without an obligation of confidentiality. The confidentiality obligations of each party in this Section shall survive for one year after termination of the Agreement, and to the extent that the Confidential Information disclosed by the disclosing party under the Agreement contains trade secret information, such Confidential Information will be subject to the protection of the Agreement for the longest period of time permitted under any applicable law.
9.2. Exclusions/Remedies. The obligations in this Section do not restrict any disclosure by either party pursuant to any applicable law, or by order of any court or government agency (provided that the disclosing party will give prompt notice to the non-disclosing party of such order, if legally permissible, so that the non-disclosing party may seek a protective order or other appropriate remedy). In the event of a breach of this Section or other compromise of Confidential Information of which a party is or should be aware (whether or not resulting from a breach), such party will immediately notify the other party in a writing detailing all information known to such party about the compromise, the Confidential Information affected, and the steps taken by such party to prevent the recurrence of such breach and to mitigate the risk to the other party. The parties agree that in the event of a breach or anticipated breach of this Section, the affected party shall be entitled to seek injunctive or other equitable relief as a remedy for any such breach or anticipated breach. Any such relief shall be in addition to and not in lieu of any appropriate relief in the way of monetary damages.
10. Representations and Warranties
10.1. MA represents and warrants to Customer that MA has the necessary authority to enter into this Agreement and carry out its obligations hereunder.
10.2. Customer represents, warrants and covenants to MA that: (i) Customer has the necessary authority to enter into this Agreement and carry out its obligations hereunder; (ii) Customer is the owner of or is licensed to use and transfer the Customer Content to the Platform or otherwise provide such Customer Content to MA and all subject matter contained therein; (iii) all Customer Data provided to MA pursuant to the Agreement was collected in compliance with applicable Privacy Laws, that Customer has provided notice to individuals regarding its sharing of information with MA as required by Privacy Laws, and that MA’s use, storage or disclosure of Customer Data in accordance with the Agreement shall be in compliance with such Privacy Laws; (iv) the Customer Content does not infringe or misappropriate the copyright, patent, trademark, trade secret or other intellectual property or other proprietary rights of any third party; and (v) Customer will at all times comply with all applicable laws, rules, and regulations.

Customer shall pay any damages (including reasonable attorney’s fees) finally awarded by a court or agreed to by Customer in a settlement with respect to such claims.
12.3. Notification. The indemnified party agrees to give the indemnifying party prompt written notice of any claim subject to indemnification; provided that an indemnified party’s failure to promptly notify the indemnifying party will not affect the indemnifying party’s obligations hereunder except to the extent that such delay prejudices the indemnifying party’s ability to defend such claim. The indemnifying party will have the right to defend against any such claim with counsel of its own choosing and to settle such claim as the indemnifying party deems appropriate, provided that the indemnifying party will not enter into any settlement that adversely affects the indemnified party’s rights, imposes any liability upon the indemnified party, or does not provide a complete release of the indemnified party without the indemnified party’s prior written consent (not to be unreasonably withheld). The indemnified party agrees to reasonably cooperate with the indemnifying party in the defense and settlement of any such claim, at the indemnifying party’s expense.
13. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MA BE LIABLE FOR ANY LOST DATA, LOSS OF REVENUE, ANTICIPATED PROFITS, LOST BUSINESS OR LOST SALES, OR FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF MA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL LIABILITY OF MA, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EXCEED, IN THE AGGREGATE, THE TOTAL AMOUNTS PAID BY CUSTOMER TO MA IN THE MONTH PRECEDING THE INITIAL CLAIM GIVING RISE TO LIABILITY HEREUNDER. CUSTOMER ACKNOWLEDGES THAT MA HAS ENTERED INTO THIS AGREEMENT IN RELIANCE UPON THE LIMITATIONS OF LIABILITY SET FORTH HEREIN AND THAT THIS LIMITATION OF LIABILITY IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
14. Dispute Resolution; Arbitration Agreement; No Class Action
14.1. Dispute Resolution. If a dispute or claim arises under this Agreement (a “Dispute”) that the parties are unable to resolve, a party will notify the other party of the Dispute in writing (which may be via email) with as much detail as possible. Customer and a MA senior business representative with full authority to resolve the Dispute will use good faith efforts to resolve the Dispute within ten (10) business days after receipt of a Dispute notice. All Disputes that remain unresolved following the process set forth in Section 14.2 above shall be finally settled under by arbitration in Minneapolis, Minnesota before a neutral single arbitrator, whose decision will be final and binding, and the arbitral proceedings will be administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The parties undertake to keep confidential all awards in their arbitration, together with all materials in the proceedings created for the purpose of the arbitration and all other documents produced by another party in the proceedings not otherwise in the public domain, save and to the extent that disclosure may be required of a party by legal duty, to protect or pursue a legal right or to enforce or challenge an award in legal proceedings before a court or other judicial authority. Notwithstanding the foregoing, either party hereto shall be entitled to seek injunctive or equitable relief from a court of competent jurisdiction without the necessity of posting bond or proving actual damages.
14.3. Class Action Waiver. To the fullest extent permitted by applicable law, Customer and MA each agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated or representative action. Customer and MA understand that by agreeing to this class action waiver, each may only bring a Dispute against one another in an individual capacity, not as a representative or member of a purported class, or as a Private Attorney General.
15. Governing Law. Any hard copies of such communications will be deemed to have been duly given on the next day if delivered personally or sent by express courier to such party.
